Panel 1: At the end of Amazing Spider-Man #196, goons are beating up Spidey to take him to The Kingpin. Spidey even says, "I'm blacking out!"

Panel 2: I'm certain that this image of our hero knocked out on his side with his neck bent is inspired by the final panel of Amazing Spider-Man #199:

Panel 5: The big bad villain has a vase of flowers on his table. Probably trying to emulate the opulence of Kingpin's mansion. Dr. Destroyer isn't masked or in a costume, which also makes me think he's based on the Kingpin.

Panel 7: The discussion between hero and villain in #197 is emulated here. Kingpin even calls Spidey a thorn in his side.
